1. Acceptance of Terms
By accessing, browsing, registering for, or using any services provided by Threvix Health Inc. ("Threvix," "we," "us," or "our"), including the Threvix platform, AI Scribe, differential diagnosis suggestion tools, imaging analysis features, and clinical reference tools (collectively, the "Services"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") in their entirety. If you do not agree to any provision of these Terms, you must immediately cease all use of and access to the Services.
These Terms constitute a legally binding agreement between you and Threvix Health Inc., a corporation incorporated under the laws of the Province of Quebec, Canada, with its principal place of business in Montreal, Quebec.
You represent and warrant that: (a) you are a duly licensed healthcare professional in good standing in your jurisdiction or an authorized representative of a licensed healthcare institution; (b) you have the legal authority and capacity to enter into these Terms on behalf of yourself or the organization you represent; and (c) your use of the Services will at all times comply with all applicable laws, regulations, professional standards, and codes of conduct governing your practice.
BY USING THE SERVICES, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOU HAVE READ THESE TERMS IN THEIR ENTIRETY, INCLUDING ALL DISCLAIMERS, LIMITATIONS OF LIABILITY, INDEMNIFICATION OBLIGATIONS, AND WAIVERS CONTAINED HEREIN, AND THAT YOU ACCEPT AND AGREE TO BE BOUND BY ALL SUCH PROVISIONS.
2. Definitions
"Platform" means the Threvix web application, APIs, mobile applications, and any related software, documentation, or infrastructure made available by Threvix.
"AI Scribe" means the automated clinical documentation tool that transcribes and summarizes clinical encounters. AI Scribe generates draft documentation only and does not produce finalized medical records.
"Clinical Suite" means the combination of AI Scribe, differential diagnosis suggestion tools, and clinical reference tools offered under our mid-tier subscription.
"Radiology+ Suite" means the combination of all Clinical Suite features plus imaging analysis capabilities.
"User Data" means any data, including patient health information, clinical notes, audio recordings, images, or any other content uploaded, entered, transmitted, or generated through use of the Services by or on behalf of the User.
"Outputs" means any and all content generated by the Services, including but not limited to transcriptions, clinical note drafts, differential diagnosis suggestions, imaging analysis results, and clinical reference information. Outputs are machine-generated and are not reviewed by any human at Threvix prior to delivery.
"Subscription Plan" means the specific tier of Services selected and paid for by the User, as described in Section 6.
"PHI" means Protected Health Information as defined under applicable Canadian federal and provincial privacy legislation, including any information about an identifiable individual that relates to their physical or mental health, the provision of health care, or payment for health care.
3. Nature and Description of Services
IMPORTANT: THE SERVICES DESCRIBED BELOW ARE TECHNOLOGY TOOLS ONLY. THREVIX IS A TECHNOLOGY COMPANY, NOT A HEALTHCARE PROVIDER, MEDICAL DEVICE MANUFACTURER, OR LICENSED HEALTHCARE PROFESSIONAL. THREVIX DOES NOT PRACTICE MEDICINE, PROVIDE MEDICAL ADVICE, RENDER DIAGNOSES, RECOMMEND TREATMENTS, OR ENGAGE IN ANY ACTIVITY THAT CONSTITUTES THE PRACTICE OF MEDICINE OR ANY OTHER REGULATED HEALTH PROFESSION.
Threvix provides an AI-powered software platform designed to assist — but never replace — licensed healthcare professionals in administrative and decision-support tasks. The Services may include, depending on your Subscription Plan:
(a) AI Scribe: Automated transcription and summarization of clinical encounters into draft clinical notes. All drafts require review, editing, and approval by the treating clinician before they may be used as part of any medical record.
(b) Differential Diagnosis Suggestions: AI-generated lists of possible differential diagnoses based on clinical inputs provided by the User. These are statistical suggestions produced by a machine learning model and are not diagnoses. They may be incomplete, inaccurate, or clinically inappropriate.
(c) Imaging Analysis: AI-assisted preliminary analysis of medical images. These analyses are screening aids only and are not diagnostic interpretations. All imaging results must be independently reviewed and interpreted by a qualified radiologist or treating physician.
(d) Clinical Reference Tools: Access to AI-powered clinical decision-support references for informational purposes only.
The Services are intended for use exclusively by licensed healthcare professionals as supplementary tools within their existing clinical workflow. The Services are not intended for use by patients, members of the general public, or unlicensed individuals.
4. Clinical Disclaimers and Assumption of Risk
4.1 No Medical Practice, No Diagnosis, No Treatment
THREVIX DOES NOT DIAGNOSE, TREAT, CURE, MANAGE, OR PREVENT ANY DISEASE, MEDICAL CONDITION, OR HEALTH ISSUE. THREVIX IS NOT A HEALTHCARE PROVIDER AND DOES NOT ENGAGE IN THE PRACTICE OF MEDICINE UNDER ANY CIRCUMSTANCES. THE SERVICES DO NOT CONSTITUTE, AND SHALL NOT BE CONSTRUED AS, MEDICAL ADVICE, CLINICAL DIAGNOSIS, TREATMENT RECOMMENDATIONS, OR ANY FORM OF HEALTHCARE SERVICE.
All Outputs generated by the Services, including but not limited to differential diagnosis suggestions, clinical note drafts, and imaging analysis results, are machine-generated informational aids. They are produced by artificial intelligence models trained on general medical data and may not reflect current medical standards, guidelines, or best practices. Outputs have not been reviewed, validated, or approved by any physician, medical professional, or regulatory body employed by or associated with Threvix.
4.2 Sole and Exclusive Responsibility of the User
YOU, AS THE LICENSED HEALTHCARE PROFESSIONAL, BEAR SOLE, EXCLUSIVE, AND ABSOLUTE RESPONSIBILITY FOR ALL CLINICAL DECISIONS, PATIENT CARE, DIAGNOSES, TREATMENT PLANS, PRESCRIPTIONS, REFERRALS, AND PATIENT OUTCOMES, WHETHER OR NOT INFORMED BY, DERIVED FROM, OR RELATED TO ANY OUTPUT OF THE SERVICES.
4.3 Assumption of Risk
YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF THE SERVICES AND ANY RELIANCE ON OUTPUTS, INCLUDING BUT NOT LIMITED TO RISKS OF MISDIAGNOSIS, DELAYED DIAGNOSIS, FAILURE TO DIAGNOSE, INAPPROPRIATE TREATMENT, ADVERSE PATIENT OUTCOMES, PATIENT INJURY, OR DEATH.
4.4 No Physician-Patient or Provider Relationship
No physician-patient, provider-patient, therapist-patient, or any other healthcare provider relationship is created between Threvix and any patient, User, or third party by virtue of these Terms or the use of the Services.
5. User Obligations and Acceptable Use
5.1 Account Responsibilities
You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.
5.2 Compliance with Laws
You agree to use the Services in strict compliance with all applicable federal, provincial, and local laws and regulations, including but not limited to PIPEDA, Quebec's Act Respecting the Protection of Personal Information in the Private Sector (Law 25), and any applicable professional codes of conduct.
5.3 Prohibited Uses
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to reverse-engineer any aspect of the Services; (c) share or resell access to the Services without prior written consent; (d) use the Services to process patient data without appropriate consent; (e) upload malicious code or content; (f) use the Services in any manner that could damage or impair the Platform.
5.4 Output Review Obligation
You acknowledge and agree that you have a non-delegable obligation to review, verify, and take full professional responsibility for all Outputs before any use in clinical practice.
6. Subscription Plans, Fees, and Payment
6.1 Subscription Tiers
(a) Scribe Plan: AI Scribe feature for draft clinical documentation.
(b) Clinical Suite Plan: AI Scribe, differential diagnosis suggestions, and clinical reference tools.
(c) Radiology+ Plan: All Clinical Suite features plus imaging analysis capabilities.
6.2 Billing and Payment
Subscription fees are billed monthly in advance. All fees paid are final and non-refundable except as required by applicable mandatory law.
6.3 Taxes
All fees are exclusive of applicable taxes, including GST, QST, and HST.
6.4 Changes to Pricing
Threvix reserves the right to modify pricing upon thirty (30) days' prior written notice.
7. Data Privacy, Security, and Protected Health Information
7.1 Data Residency
All User Data is stored and processed within Canada, with primary data residency in the Province of Quebec.
7.2 Privacy Compliance
Threvix processes User Data in accordance with PIPEDA and Quebec Law 25.
7.3 Data Security
Threvix implements commercially reasonable technical and organizational security measures designed to protect User Data.
7.4 Data Ownership
You retain all rights, title, and interest in your User Data.
7.5 Protected Health Information
YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ALL PATIENT DATA AND PROTECTED HEALTH INFORMATION (PHI) THAT YOU SUBMIT TO THE SERVICES.
8. Intellectual Property
All rights, title, and interest in and to the Services are and shall remain the exclusive property of Threvix Health Inc.
9. Limitation of Liability
9.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THREVIX PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND.
9.2 Cap on Direct Damages
THE TOTAL CUMULATIVE LIABILITY OF ALL THREVIX PARTIES SHALL NOT EXCEED THE LESSER OF: (A) TOTAL FEES PAID IN THE THREE (3) MONTHS PRECEDING THE EVENT; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
9.3 Exclusion of Clinical Liability
THE THREVIX PARTIES SHALL HAVE ABSOLUTELY NO LIABILITY FOR ANY CLINICAL DECISION, PATIENT OUTCOME, MALPRACTICE CLAIM, OR CLAIM ARISING FROM YOUR USE OF THE SERVICES.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Threvix Parties from and against any claims arising out of or related to your use of the Services, your clinical decisions, your breach of these Terms, or your violation of any applicable law.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT WARRANTIES OF ANY KIND. THE THREVIX PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND CLINICAL ACCURACY.
12. Term and Termination
12.1 These Terms are effective upon your first access to the Services.
12.2 You may cancel your Subscription Plan at any time through your account settings.
12.3 Threvix may suspend or terminate your access immediately at its sole discretion.
12.4 Upon termination, your right to access the Services ceases immediately.
12.5 Threvix will retain your User Data for thirty (30) days following termination.
13. Governing Law and Dispute Resolution
13.1 These Terms shall be governed by the laws of the Province of Quebec and the federal laws of Canada.
13.2 Any dispute shall be brought exclusively in the courts of the judicial district of Montreal, Quebec, Canada.
13.3 Any dispute resolution shall be conducted only on an individual basis, not in a class action.
13.4 Any claim must be filed within one (1) year after the cause of action accrues.
14. Modifications to Terms
Threvix reserves the right to modify these Terms at any time. Material changes will be communicated at least thirty (30) days in advance.
15. General Provisions
15.1 Entire Agreement: These Terms constitute the entire agreement between you and Threvix.
15.2 Severability: If any provision is held invalid, the remaining provisions continue in full force.
15.3 No Waiver: Failure to enforce any provision shall not constitute a waiver.
15.4 Assignment: You may not assign your rights without prior written consent of Threvix.
15.5 Force Majeure: Threvix shall not be liable for failures due to circumstances beyond its reasonable control.
15.6 Independent Contractors: Threvix and you are independent contractors.
15.7 Third-Party Beneficiaries: These Terms are for the sole benefit of the parties and do not confer rights on any third party.
15.8 Notices: Notices to Threvix shall be sent to legal@threvixhealth.com.
